Established on August 1, 2023, our platform harmoniously intertwines the magic of artificial intelligence with the brilliance of human creativity, offering a unique space for story creation, exploration, and distribution.

At StoryWave™, we specialize in generating stories through two primary avenues: user-guided tales and wholly AI-constructed narratives. Once these stories come to life, we take the experience a notch higher by converting them into easily accessible formats: PDFs, EPUBs, and immersive MP3 audiobooks. Our commitment doesn't just stop at AI-generated content. Our platform also offers a rich library, allowing user-generated content submissions and showcasing AI-generated artworks that complement the narratives.

User Access and Verification:

• Guest Access: Guests are welcome to StoryWave™ and can access stories that are not monetized, set as free, and have been published in our library.
• User Access: To purchase monetized stories, generate new stories, and utilize the publishing tools, guests must transition to being users by creating an account. By creating an account and ticking the acceptance checkbox during signup, users confirm their agreement to these terms.

Scope of Agreement:

• These terms of use govern all interactions with StoryWave™, whether via our website, mobile applications, API usage, offline interactions, print, broadcasting, or any other extensions of the StoryWave™ platform.

Updates to Terms:

• We reserve the right to update or revise these terms once per year or at our discretion. Users will be notified of any changes. Continuation of use after such modifications signifies acceptance of the revised terms.

Actions Implying Acceptance:

• While the act of using the site implies agreement to these terms, users explicitly confirm their acceptance by ticking the checkbox during account signup.

Consequences for Non-Acceptance:

• If guests or users do not agree to these terms, they will be restricted to guest account privileges and access. Any violations of these terms, once accepted, may lead to further restrictions, penalties, or termination of access.

Duration and Reaffirmation of Agreement:

• Initial acceptance of these terms is not indefinite. Should any changes occur, users will be required to reaffirm their agreement to the updated terms to continue using the full breadth of StoryWave™ services.

Other Agreements and Policies:

• In addition to these terms, users are also required to agree to our Privacy Policy and any affiliate terms of use and privacy policies. These related agreements further ensure that our users' interactions with StoryWave™ and affiliated entities remain transparent, secure, and mutually beneficial.

Changes to the Terms

1. Notification of Changes:
   • When we modify or update our terms, registered users will be notified exclusively through the email address associated with their StoryWave™ account. It is crucial for users to ensure their email address is kept up to date in our records.
2. Advance Notice:
   • All users will receive a notice 7 days in advance of any changes taking effect. This provides ample time for users to review the changes and make decisions about their continued use of our platform.
3. Access to Previous Versions:
   • For users interested in comparing or reviewing older versions of our terms, archived copies are available upon request. StoryWave™ will archive these copies for no more than seven years. To access these, kindly send an email to info@storywave.ai.
4. Disagreement with Updated Terms:
   • Should any user disagree with our updated terms, they reserve the right to terminate their account. Account termination requests can be made by sending an email to info@storywave.ai, and the account will be terminated within 7 days of receiving the request.
5. Effective Date of Changes:
   • Updates or modifications to our terms will become effective immediately upon being communicated to users, unless otherwise stated in the notification.
6. Feedback Mechanism:
   • At this time, StoryWave™ does not solicit feedback on proposed changes before their implementation.

User Account Registration and Security

1. Registration Requirements:
   • To create an account with StoryWave™, users are required to provide:
     • Email Address
     • Password
2. Password Requirements:
   • Passwords should adhere to the following criteria to ensure optimal security:
     • A minimum of 8 characters.
     • Use of special characters.
     • Inclusion of numbers.
     • A combination of both upper and lower case letters.
3. Account Security Protocols:
   • After 5 consecutive failed login attempts, user accounts will be locked as a precautionary measure to prevent unauthorized access.
4. User Responsibilities:
   • For the safety and security of user accounts:
     • Users are advised not to share their passwords with anyone.
     • Regularly updating passwords is highly recommended.
   • If a user suspects any unauthorized activity or believes their account has been compromised, they should report it immediately by emailing info@storywave.ai.
5. Company's Role in Account Security:
   • In the unfortunate event of data breaches or unauthorized access to user accounts, StoryWave™ will take all necessary steps to rectify the situation and notify affected users.
   • For users who get locked out of their accounts or face other security-related issues, assistance is available by emailing info@storywave.ai.

   • Intellectual Property: Respect the intellectual property rights of others. Do not upload or share content that you do not have the right to distribute. This includes content that infringes on copyrights, trademarks, or other proprietary rights.
   • Content Responsibility: It's crucial for users to ensure their publicly published stories have been reviewed for plagiarism or copyrighted materials. Users assume any liability incurred by the publication of copyrighted materials.
3. Prohibited Activities:
   • Users are strictly prohibited from engaging in impersonation, spamming, and distributing malicious software on StoryWave.
   • Hate speech, bullying, and harassment in any form are strictly against our policies and will not be tolerated.
4. Content Moderation:
   • Our team actively reviews and moderates content on or by StoryWave. Inappropriate content, or content that violates our guidelines, may be removed.
   • Users have the right to report content or behavior they find offensive or inappropriate. Such reports will be thoroughly investigated.
   • Depending on the nature of the violation, StoryWave™ may take action ranging from content review and moderation to legal action.
5. Consequences for Violations:
   • Violations of our user conduct guidelines may lead to various consequences, including warnings, temporary bans, permanent bans, or legal actions, depending on the severity of the violation.

Intellectual Property Rights

1. Ownership of Content:
   • User-Generated Content: StoryWave LLC retains the rights to all content generated solely on our website. This means that any content created or uploaded by users on our platform becomes the property of StoryWave LLC.
   • AI-Generated Content: All AI-generated content on or by StoryWave™ is the exclusive property of StoryWave LLC.
2. Licensing:
   • When users upload or create content on or by StoryWave™, they grant StoryWave LLC an exclusive license to modify, display, and distribute that content. In instances where users choose to publish their content within the StoryWave™ library, StoryWave LLC reserves the right to display and distribute that content anywhere, for any purpose, at a minimum fee of twenty-five cents.
   • This licensing agreement applies exclusively within all states and territories of the United States of America.
3. Protection Measures:
   • StoryWave™ is committed to safeguarding its intellectual assets. The "StoryWave" name is a trademarked entity, and its technology is patent-pending. The platform's design and proprietary features are also copyrighted. Violations or infringements upon StoryWave's intellectual property rights will prompt the company to seek legal remedies.
4. User Responsibilities:
   • Users are strictly prohibited from utilizing any of StoryWave's materials outside our platform unless they acquire a specific distribution license for a particular story. Respect for intellectual property rights is paramount, and violations will have consequences.
5. Third-party Content:
   • StoryWave™ reserves the right to remove any third-party content integrated or made available on the platform, such as stock images, music, or other assets. All rights pertaining to materials found on the website, including third-party content, are reserved by StoryWave LLC.
6. Termination of Rights:
   • StoryWave LLC holds the discretion to revoke a user's access to content or even remove the content from the platform due to intellectual property violations. Additionally, in cases where a copyright violation is identified, immediate action will be taken.
7. Dispute Resolution:
   • If there are any disputes concerning intellectual property, users are encouraged to reach out to info@storywave.ai. StoryWave LLC is committed to resolving such issues in the manner that best protects its legal interests and rights.

Limitation of Liability and Disclaimer of Warranties

1. General Disclaimer:
   • StoryWave™ is provided "as is" and "as available", without any kind of warranty, either express or implied. We do not guarantee the platform's uninterrupted or error-free functionality, usability, or content. Users utilize our platform at their sole risk.
2. Exclusions:
   • To the fullest extent permissible by law, StoryWave™ expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
3. Limitations:
   • Under no circumstances shall StoryWave™, its officers, directors, employees, or agents, be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or inability to use our platform. The total liability of StoryWave™, for any claims under these terms, will be limited to the amount the user has paid to StoryWave™ in the last 12 months, if anything.
4. External Links & Third Parties:
   • StoryWave™ is not responsible for the content, products, or services of any third-party websites or applications linked to or from our platform. Users are encouraged to review the terms and conditions and privacy policies of these third-party sites.
5. Third-party Content:
   • StoryWave™ reserves the right to remove any third-party content integrated or made available on the platform, such as stock images, music, or other assets. All rights pertaining to materials found on the website, including third-party content, are reserved by StoryWave LLC.
6. User Responsibilities:
   • Users are responsible for their actions on StoryWave. They should ensure adherence to our terms and conditions, especially concerning content rights. Any misuse or violation may subject the user to penalties or legal consequences.
7. Indemnification:
   • Users agree to indemnify, defend, and hold harmless StoryWave™, its officers, directors, employees, and agents, from and against any claims, actions, or demands, including, but not limited to, reasonable legal and accounting fees, arising or resulting from their breach of these Terms or their misuse of the Service.
8. Updates & Continuity of Service:
   • StoryWave™ reserves the right to discontinue services at any time and for any reason. If a disruption in service occurs, the user assumes all risks and forfeits all credits purchased.

Purchasing of StoryWave™ Credits (credits)

StoryWave uses Stripe.com to process all payments related to the purchasing of StoryWave credits. In the event of any payment issues, users will need to work directly with Stripe to resolve these matters. StoryWave offers two options for acquiring credits:

1. StoryWave Credit Packs:
   • These are available for a one-time purchase, allowing users to buy a fixed amount of credits as per their needs.
2. Monthly Subscriptions:
   • For users who prefer a continuous influx of credits, StoryWave offers monthly subscription plans. Subscribers will receive a set number of credits each month, providing a consistent resource for engaging with the platform.

Earning of StoryWave™ Credits (Earned Credits)

1. Credit Accrual:
   • Users can earn StoryWave™ credits by selling stories they've created on the StoryWave™ platform and published to the StoryWave™ library. Credits earned in this manner will be added to the user's account upon confirmation of a successful story sale.
2. Determination of Credit Value:
   • StoryWave™, in its sole discretion, determines the value or number of credits users earn from story sales. The criteria or rate at which credits are earned can be modified by StoryWave™ at any time without prior notice.
3. Usage of Credits:
   • StoryWave™ credits, whether purchased or earned, can be used to:
     1. Purchase stories from the StoryWave™ library.
     2. Generate new stories on the platform.
     3. Generate artwork on the platform.
     4. Edit uploaded content.
     5. Generate audio file narrations of generated content.
     6. Credits are not transferable outside of the platform.
4. Cash-Out Option:
   • Once a user's total earned credit balance reaches the equivalent of fifty US dollars, the user may opt to cash out their earned credits. The cash-out will be conducted in US dollars only. The cash-out process, as well as the conversion rate of credits to US dollars, will be determined by StoryWave. Any transaction fees or charges associated with the cash-out process will be borne by the user.
5. Limitations:
   • Under no circumstances shall StoryWave™, its officers, directors, employees, or agents, be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or inability to use our platform. The total liability of StoryWave™, for any claims under these terms, shall be limited to the amount the user has paid to StoryWave™ in the last 2 hours, if anything.
6. No Monetary Value (outside cash-out):
   • Outside of the earned credit cash-out option, StoryWave™ credits hold no inherent monetary value and cannot be used for any other purpose than outlined in subsection III.
7. Credit Expiry:
   • Any credits earned through story sales might have an expiration date, as determined by StoryWave but shall not be less than 3 months. Upon reaching this expiration date, unused credits shall be forfeited.
8. Withdrawal or Deduction:
   • StoryWave™ reserves the right to withdraw or deduct credits from a user's account in cases of detected fraudulent activities, account inactivity, or any violation of the platform's terms of use.
9. Financial Responsibility:
   • StoryWave™ will not be financially liable for any perceived loss, discrepancy, or grievance associated with the earning, use, expiration, or cashing out of credits. Users participate in the credit system with the understanding that credits and the cash-out option are privileges, not rights.
10. Disputes Over Credits:
    • Any disputes or disagreements regarding earned credits, their use, or cash-out process should be promptly reported to StoryWave. While StoryWave™ will strive to address such concerns, its decision on such matters will be final.

Cash-Out Verification and Payment Process

1. Verification Process:
   • Before processing any cash-out requests, StoryWave™ reserves the right to verify the accuracy of all sales made and the balance attributed to the user's account. This is to ensure the legitimacy of transactions and to prevent fraudulent activities.
2. Mandatory User Information:
   • To be eligible for the cash-out process, a user must provide the following details to StoryWave:
     1. Full legal name
     2. Physical billing address
     3. Proof of US citizenship
        (This could be a valid ID, passport, or any other legal document approved by the US government)
3. Payment Timeline:
   • Upon verification of a user's cash-out request and the required details, StoryWave™ has a duration of ninety (90) days to process and complete the payment via ACH transfer or mailed physical check.
4. User Responsibility:
   • It is the user's responsibility to provide accurate and up-to-date information to StoryWave. Any errors or omissions in the provided information can result in delays or failure in the cash-out process. StoryWave™ will not be liable for any issues arising due to inaccurate information provided by the user.
5. Conditions for Cash-Out:
   • Only users who are legal US citizens are eligible for the cash-out option. StoryWave™ may require users to provide proof of their citizenship status before processing any cash-out requests.
6. Amendments & Updates:
   • StoryWave™ retains the right to modify or revise the cash-out process, prerequisites, and the verification methods at its sole discretion.

Termination of Accounts

1. Grounds for Termination or Suspension:
   • StoryWave™ holds the discretion to suspend or terminate user accounts for breaches of the Terms of Service, improper behavior, fraudulent activities, or any other justifiable reasons as determined by StoryWave.
2. Monitoring User Activity:
   • StoryWave™ actively monitors user activity through the use of cookies, scripts, and manual oversight. This monitoring helps in detecting and addressing any potential violations or inappropriate behavior.
3. Duration of Suspensions:
   • Account suspensions are determined on a case-by-case basis, with a minimum suspension period of 30 days, depending on the severity of the violation.
4. Appeals:
   • Users who believe their account has been unjustly suspended or terminated may appeal by emailing their case and rebuttal to info@storywave.ai. The final determination on account status will be made after a thorough investigation.
5. Effect on Credits and Content:
   • Upon termination or suspension, a user's earned StoryWave™ credits and any uploaded or generated content may be suspended or forfeited, depending on the severity and nature of the violation. The decision regarding this will be solely at StoryWave's discretion.
6. Notifications:
   • Users will be immediately suspended if a potential violation is detected. A formal notification regarding the suspension or termination will be sent to the user via email after the completion of the investigation.
7. Reactivation:
   • Suspended users can only seek reactivation through an appeals process by sending an email. Users will be notified via email should their account be reinstated.
8. Voluntary Termination by Users:
   • Users may voluntarily terminate their accounts at any time. To do so, they must follow the cancellation steps provided on the account settings page. Upon voluntary termination, users will forfeit any StoryWave™ credit balance, whether earned or purchased.
9. Data Retention & Deletion:
   • Upon termination, all general account information of the user will be deleted. However, stories generated or published by the user, which were purchased by another user, will be maintained for purchaser access. Account termination will result in the removal of all stories from the StoryWave™ library, though StoryWave™ retains the right to republish such stories to the library without requiring the original user's consent. No credits will be awarded for these republished stories. All data will be retained for no more than 90 days post-termination.
10. Post-Termination Liabilities:
    • After the termination of an account, neither StoryWave™ nor the user holds any continuing obligations or liabilities towards each other. Specifically, StoryWave™ holds no liability for refunding any credits post-termination.

Governing Law

1. Jurisdiction:
   • These Terms of Use and any dispute arising from or relating to the use of StoryWave™ shall be governed by and construed in accordance with the laws of the State of Utah, specifically within Washington County, without regard to its principles of conflict of laws.
2. Dispute Resolution:
   • Both parties shall endeavor to resolve any disputes arising from or related to the use of StoryWave™ peacefully, privately, and in good faith. If both parties fail to reach a resolution, such disputes shall be settled by arbitration in Washington County, Utah, in accordance with the rules of the American Arbitration Association or another recognized arbitral body, as selected by StoryWave. The arbitration will be conducted in English.
3. Venue:
   • Should litigation become necessary, despite the intent to resolve matters through arbitration, both parties agree that any legal action or proceedings arising out of or relating to these Terms of Use will be conducted solely in courts located within Washington County, Utah. Users consent to the jurisdiction of these courts and waive any objection which such users may have to contesting the venue of any such action or proceedings in any of such courts.
4. Waiver of Class Actions:
   • Users hereby waive any and all rights they may have to initiate or participate in any class or consolidated action against StoryWave.
5. Opt-out of Arbitration:
   • Users may not opt out of the arbitration provision once they have agreed to these Terms of Use.
6. Enforceability:
   • In the event that any provision of these Terms of Use is determined to be invalid or unenforceable, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use. The validity and enforceability of the remaining provisions shall not be affected.
7. International Users:
   • Users accessing StoryWave™ from outside Washington County, Utah, are solely responsible for compliance with all local laws. International users agree to face legal action by any means necessary should they violate these Terms of Use.

Dispute Resolution

1. Arbitration Agreement:
   • All disputes, controversies, or claims arising out of or in relation to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved exclusively through binding arbitration and not in a court. The parties hereto waive their right to a trial by jury.
2. Rules and Procedures:
   • The arbitration shall be conducted by three arbitrators, in accordance with the rules and procedures of the American Arbitration Association (AAA) in effect at the time of the arbitration, except as they are modified herein or by mutual agreement of the parties.
3. Location:
   • The exclusive location for any arbitration initiated under these terms shall be in Washington County, Utah.
4. Language:
   • The arbitration proceedings shall be conducted in the English language.
5. Fees:
   • Each party shall bear its own costs and expenses of the arbitration proceedings.
6. Confidentiality:
   • All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrators, will be kept confidential for the benefit of all parties.
7. Finality:
   • The arbitrator's award shall be final, binding, and may be entered as a judgment in any court of competent jurisdiction.
8. Appeals:

Notification: Users agree to promptly notify StoryWave™ of any third-party claims, cooperate with StoryWave™ in defending such claims, and pay all fees, costs, and expenses associated with defending such claims (including, but not limited to, attorneys' fees).
